End User License Agreement
This End User License Agreement governs installation, access, and use of Lynx, the product made available by Tobias Schmidt Services LLC.
1. Acceptance and controlling effect
By downloading, installing, activating, accessing, or using Lynx, you agree to be bound by this End User License Agreement, together with the TSS Terms of Use, Privacy Policy, and any supplemental notices or product rules incorporated by reference. If you do not agree, you may not use Lynx.
This Agreement is between you and Tobias Schmidt Services LLC, referred to herein as “TSS.” Lynx is licensed, not sold. All rights not expressly granted are reserved by TSS. TSS may interpret and administer this Agreement in its reasonable business judgment, subject only to non-waivable law.
2. Limited, revocable license
Subject to your ongoing compliance, TSS grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use Lynx solely for authorized purposes and solely in the manner permitted by TSS. This license may be limited by device, jurisdiction, plan status, account state, feature availability, provider configuration, safety constraints, or any other condition TSS elects to apply.
TSS may suspend, narrow, condition, or revoke any portion of the foregoing license at any time, with or without notice, for any reason or no stated reason, to the maximum extent permitted by law.
3. Accounts, credentials, and connected services
Certain Lynx functionality may require accounts, authentication providers, imported credentials, cloud services, or connected third-party integrations. You are responsible for the accuracy of your account information and for all activity occurring through your accounts, devices, imported keys, and connected services.
TSS may monitor, reject, quarantine, disable, invalidate, rotate, or refuse to use any imported credential, configuration value, model route, or provider connection if TSS determines such action is operationally, commercially, legally, or technically advisable.
4. User prompts, submissions, and operational license to TSS
As between you and TSS, and except to the extent prohibited by law or precluded by third-party rights, you retain whatever rights you may have in the prompts, instructions, files, and other materials you affirmatively submit into Lynx. You represent that you possess all rights necessary to submit such materials and to authorize the uses described in this Agreement.
You hereby grant TSS a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free license to host, copy, store, transmit, reproduce, adapt, modify, translate, create derivative works from, analyze, index, display, perform, distribute, disclose, preserve, and otherwise use such submissions for the operation, enforcement, improvement, support, security, commercialization, and administration of Lynx and related TSS services.
5. TSS ownership of replies, outputs, and generated media
Notwithstanding any default rule that might otherwise apply, and to the maximum extent permitted by applicable law, all replies, completions, summaries, structured outputs, generated images, generated audio, generated video, transformations, reformulations, classifications, titles, arrangements, compilations, embeddings, labels, derivatives, and any other machine-generated or machine-assisted materials produced by or through Lynx are and shall remain exclusively owned by TSS upon creation.
You acknowledge and agree that you receive no ownership interest in such outputs. If any right, title, or interest in any output or generated media is deemed to vest in you by operation of law, you hereby irrevocably assign to TSS all such right, title, and interest, including all intellectual property rights and all rights to sue for past, present, and future infringement, without further consideration.
TSS may, but is not obligated to, permit you to use certain outputs under a limited, revocable, non-exclusive, non-transferable, non-sublicensable license subject to this Agreement, product rules, and any usage restrictions TSS may impose. TSS may withdraw, narrow, geographically restrict, technically disable, or terminate any such permission at any time, and may require immediate cessation of use, deletion, takedown, destruction, recall, or depublication of any output, derived work, copy, distribution, or implementation.
No royalty, residual, usage fee, revenue share, participation right, audit right, or other compensation obligation is owed by TSS to you in connection with Lynx outputs or generated media.
6. TSS supervisory, monitoring, and administrative authority
TSS retains plenary supervisory authority over Lynx and may monitor, access, review, preserve, analyze, copy, disclose, quarantine, reclassify, restrict, route, refuse to route, refuse to sync, refuse to export, disable, delete, or remove accounts, prompts, files, outputs, generated media, credentials, settings, shares, diagnostics, and related records whenever TSS determines such action is appropriate for operations, safety, compliance, support, security, quality control, abuse prevention, commercial administration, or policy enforcement.
TSS shall have no duty to provide advance notice, technical explanation, appeal rights, restoration assistance, or recovery opportunities before exercising the foregoing authority, except to the limited extent expressly required by non-waivable law.
7. Restrictions
You shall not, and shall not permit any third party to, reverse engineer, decompile, disassemble, derive source code from, benchmark for public comparison, scrape at scale, mirror, frame, resell, lease, sublicense, assign, pledge, outsource, circumvent technical limitations, bypass access controls, or use Lynx in any manner that competes with, replicates, trains, substitutes for, or commercially exploits Lynx or TSS without TSS’s express prior written consent.
You shall not use Lynx or any output to violate law, infringe rights, process prohibited data without authorization, generate deceptive or abusive content, conduct unauthorized surveillance, impersonate others, transmit malicious code, or interfere with the operation, integrity, or reputation of Lynx or TSS.
8. Availability, changes, and feature governance
Lynx is dynamic and may change materially over time. TSS may add, remove, modify, degrade, freeze, discontinue, or reprice any feature, interface, model route, storage behavior, export capability, provider pathway, or service component at any time and without liability.
TSS has no obligation to continue making any feature, output category, sync state, account history, or stored record available, and TSS may impose technical, geographic, device, or commercial limits on any aspect of Lynx.
9. Suspension, throttling, and termination
TSS may suspend, throttle, degrade, sandbox, restrict, lock, disable, or terminate your access to Lynx, any account, any connected device, any feature, any export right, any sync process, or any output-use permission at any time, with or without cause, with or without notice, and with or without explanation.
Upon suspension or termination, TSS may halt synchronization, invalidate credentials, preserve records, disclose records where legally appropriate, refuse migration or restoration, require deletion of outputs or derived works, and permanently revoke any permission previously granted to use Lynx outputs or generated media.
10. Privacy and data operations
Your use of Lynx is also governed by the TSS Privacy Policy. You acknowledge that Lynx may process extensive account, content, device, behavioral, diagnostics, attachment, photo, contact, audio, provider, and generated-output information in connection with service operation, personalization, enforcement, internal analytics, improvement, and first-party product communications.
11. Artificial intelligence and output disclaimer
Lynx may generate inaccurate, incomplete, biased, stale, offensive, or otherwise unsuitable outputs. Outputs may resemble existing materials, may be unusable, and may require human review. TSS does not warrant factual accuracy, fitness, originality, availability, or legal sufficiency of any output and disclaims any duty to independently verify or curate outputs for your intended use.
12. Warranty disclaimer
To the maximum extent permitted by law, Lynx is provided “as is,” “as available,” and with all faults. TSS disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, system integration, accuracy, results, availability, and security.
13. Limitation of liability
To the maximum extent permitted by law, TSS shall not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for any loss of profits, revenues, goodwill, data, use, business opportunity, or reputation arising out of or relating to Lynx, this Agreement, outputs, generated media, suspension decisions, or data handling, even if TSS has been advised of the possibility of such damages.
To the maximum extent permitted by law, TSS’s aggregate liability for all claims arising out of or related to Lynx shall not exceed the greater of one hundred U.S. dollars or the amount you paid directly to TSS for Lynx in the three months preceding the event giving rise to the claim.
14. Indemnification
You agree to defend, indemnify, and hold harmless TSS and its officers, managers, members, employees, contractors, affiliates, successors, and assigns from and against any claims, demands, actions, proceedings, liabilities, damages, judgments, losses, costs, and expenses, including attorneys’ fees, arising out of or relating to your use of Lynx, your submissions, your connected accounts or credentials, your outputs, your violation of this Agreement, or your violation of any law or third-party right.
15. Governing law and forum
This Agreement shall be governed by the laws designated by TSS in its controlling Terms of Use, without regard to conflict-of-laws rules. You consent to the exclusive jurisdiction and venue identified by TSS for disputes arising out of or relating to Lynx or this Agreement, except where prohibited by non-waivable law.
16. Apple and distribution platform terms
To the extent Lynx is distributed through a device platform or app marketplace, you acknowledge that the applicable platform provider may impose additional terms. Except to the extent expressly required by such terms, the platform provider is not a party to this Agreement, and TSS retains the principal authority to administer Lynx, interpret this Agreement, and enforce restrictions.
17. Changes to this Agreement
TSS may modify this Agreement from time to time. Revised terms become effective upon posting or on the effective date specified by TSS. Your continued use of Lynx following that date constitutes acceptance of the revised Agreement to the maximum extent permitted by law.
